As part of our mission to provide world-class solutions that empower developers to write better code, SonarSource provides certain customers the ability to opt-in to receive AI CodeFix. “AI CodeFix” is an optional add-on offered with select tiers of the Product or Service that provides suggested code edits generated from artificial intelligence, machine learning, or similar technologies (collectively, “AI Technologies”). This add-on utilizes AI Technologies that are enabled as part of SonarSource’s Product and Service (“Sonar AI Technologies”). Additionally, select tiers of the Product and Service offer customers the ability to connect to their own preferred AI Technologies (“Customer AI Technologies”). These AI CodeFix Terms (“Terms”) set out the terms for the use of AI CodeFix.
1. Customer’s Acceptance of AI CodeFix Terms
These Terms apply on the earlier of (a) Customer’s acceptance of these Terms by (i) opting-in within the Product or Service, or (ii) executing a SonarSource sales quote for AI CodeFix; or (b) Customer’s or its users’ use of AI CodeFix. Customer may opt-out of using AI CodeFix at any time; however, such opt-out will not affect any liability or obligations incurred by Customer prior to the effective date of the opt-out. These Terms are incorporated into and form part of the relevant SonarQube Server Terms and Conditions, SonarQube Cloud Terms of Service, or other agreement between Customer and SonarSource covering Customer’s use of the Product or Service (“Agreement”). Capitalized terms not defined in these Terms have the meanings set forth in the relevant Agreement. SonarSource reserves the right to modify these Terms at its sole discretion, and any such modifications shall become effective upon posting on the SonarSource Legal Terms and Documentation webpage or upon notification to the Customer, whichever occurs first. It is the responsibility of the Customer to review these Terms periodically for any changes.
2. Use of AI CodeFix
Subject to Customer’s compliance with the terms of the Agreement and these Terms, SonarSource grants Customer a limited, worldwide, nonexclusive, nontransferable license to access and use AI CodeFix for Customer’s own internal software development purposes.
3. AI Technologies
AI CodeFix is primarily developed by SonarSource with the assistance of Sonar AI Technologies, which are provided by third parties. Accordingly, where Customer uses Sonar AI Technologies, SonarSource will, where possible, endeavor to extend to Customer the benefits of the services (including any warranties and indemnities) that are provided to SonarSource by third parties.
4. Ownership of Intellectual Property
As between the Customer and SonarSource, the Customer shall retain all rights, title, and interest in and to Customer Data transmitted as part of AI CodeFix, including all associated Intellectual Property rights therein. Customer grants SonarSource the right to internally use Customer Data to provide the AI CodeFix service, and for the purpose of enhancing the AI CodeFix service and any related services provided by SonarSource. Customer Data will not be used, however, to train or improve third-party AI Technologies. Furthermore, the Customer shall own all rights, title, and interest in any output generated by AI CodeFix once the Customer has incorporated such output into its project code.
Except for the limited license rights expressly granted to the Customer in Section 2, all rights, title, and interest in AI CodeFix, including all associated Intellectual Property rights, are exclusively owned by SonarSource and/or its licensors. SonarSource retains all Intellectual Property rights to AI CodeFix, including but not limited to the prompts, rules, methodologies, processes, and related components, irrespective of the use of Sonar AI Technologies or Customer AI Technologies. These components are considered Sonar Confidential Information. All rights not expressly granted herein are reserved by SonarSource.
SonarSource is hereby granted a royalty-free, fully-paid, worldwide, exclusive, transferable, sub-licensable, irrevocable, and perpetual license to use or incorporate into its products and services any suggestions, enhancement requests, recommendations, or other feedback provided by Customer relating to AI CodeFix.
5. Scope of Use and Personal Data
To offer AI CodeFix, SonarSource may supply Sonar AI Technologies with information that may include Snippets of Customer Data. “Snippets” means selected portions or extracts of Customer Data that are used for the purpose of generating code-fix suggestions through AI CodeFix.
AI CodeFix does not intentionally process Personal Data. In the event that Personal Data is incidentally included in the Snippets provided to AI CodeFix, SonarSource will process such Personal Data in accordance with the Agreement.
6. Usage and Restrictions of AI CodeFix
AI CodeFix is intended for reasonable use in connection with the eligible Product or Service. SonarSource reserves the right to monitor and evaluate Customer’s usage of AI CodeFix at its sole discretion. If SonarSource determines that the Customer’s usage of AI CodeFix, using any Sonar AI Technologies, exceeds reasonable levels, it may implement rate limiting measures without liability. These measures may include suspending or terminating the Customer’s access to AI CodeFix.
7. Customer AI Technologies
Customer is responsible for ensuring compatibility and compliance with all applicable terms of use and legal requirements of their Customer AI Technologies with AI CodeFix, and for managing any associated costs or licensing requirements. SonarSource disclaims all liability for any issues arising from Customer’s use of any Customer AI Technologies, including but not limited to compatibility, legal and regulatory compliance, and performance. Notwithstanding anything else contained herein, Customer agrees to defend and indemnify SonarSource and its affiliates, and their directors, employees, and agents from any third-party claim arising out of or relating to: (i) the content, accuracy, legality, or use of Customer Data with any Customer AI Technologies; or (ii) Customer’s use of any Customer AI Technologies.
8. Disclaimers
Given the inherent characteristics of AI Technologies and artificial intelligence generally, any code-fix suggestions generated may be the same, or similar to, code-fix suggestions generated for other SonarSource customers and users of the Product or Service. AI CodeFix may generate incorrect output. Customer’s access to AI CodeFix is limited and may be terminated by SonarSource at any time for any reason or no reason.
AI CodeFix is not designed for or intended to be used for meeting Customer’s compliance with applicable laws or regulatory obligations. Customer acknowledges that it is not required to use, access, test, or evaluate AI CodeFix, and that it does so at its own discretion and risk. In particular, Customer agrees that Customer is responsible for (a) evaluating all outputs of AI CodeFix before relying on or otherwise using them; (b) ensuring that its use of any output from AI CodeFix does not infringe, violate, or misappropriate the intellectual property rights of any third-party; and (c) complying with all applicable laws and regulations, including those governing the use of artificial intelligence technologies. Any issues or limitations concerning liability are subject to the limitations stipulated in the Agreement.
